Terms and Conditions of Use

Welcome to Backpack Trader LLC (“Company,” “we,” “us,” or “our”). By accessing our websites, purchasing our educational courses, downloading our custom trading indicators, entering our live trading rooms, or using any of our digital services (collectively, the “Services”), you agree to be bound by these Terms and Conditions.

If you do not agree to all of these terms, you are explicitly prohibited from using our Services and must discontinue use immediately.

1. Intellectual Property Rights

Unless otherwise indicated, all content, software, custom source code, trading indicators, algorithms, video training modules, text, graphics, and logos on our platforms are the proprietary property of Backpack Trader LLC.

  • Limited License: We grant you a non-exclusive, non-transferable, revocable license to access and use the Services strictly for your personal, non-commercial educational use.
  • Prohibited Actions: You may not copy, reverse-engineer, decompile, redistribute, resell, lease, or publicly share any proprietary indicators, strategy rules, trade setups, or content without express written consent from an authorized representative of Backpack Trader LLC. Sharing login credentials or subscription access with non-registered users will result in immediate termination of your account without a refund.

2. Eligibility & Account Security

By creating an account and utilizing our Services, you represent and warrant that:

  1. You are at least 18 years of age (or the age of majority in your jurisdiction).
  2. All registration information you submit is truthful, accurate, and current.
  3. You will safeguard your password and accept sole responsibility for all activity occurring under your account.

3. Payment, Subscriptions, and Cancellation

Certain features, custom tools, or training rooms require a paid subscription or a one-time purchase fee.

  • Billing: You authorize Backpack Trader LLC to charge your designated payment method for all associated fees, applicable taxes, and recurring subscription renewals until canceled.
  • Subscription Renewals: Recurring subscriptions automatically renew at the end of each billing cycle unless you cancel your plan prior to the renewal date.
  • Cancellation & Refund Policy: Because our Services include immediate digital access to proprietary software, indicator downloads, and proprietary educational methodologies, all sales are final unless explicit promotion-specific money-back guarantees are stated on the checkout page. To cancel an active recurring subscription, you must submit a request through our support portal or account settings at least three (3) business days before your next scheduled billing date.

4. Code of Conduct & Live Room Etiquette

When participating in live trading chat rooms, community forums, or webinar Q&A sessions managed by Backpack Trader LLC, you agree to adhere to a professional and respectful standard of conduct.

You agree NOT to:

  • Post spam, promotional affiliate links, or solicit other members for external services or funds.
  • Harass, abuse, or use derogatory language toward Company instructors, staff, or fellow community members.
  • Broadcast individual trade recommendations, financial advice, or solicitations to buy/sell specific contracts to other users.

Failure to adhere to these rules can result in temporary muting or permanent expulsion from community spaces without compensation.

5. Third-Party Platforms and Brokerages

Our Services may involve the use of third-party charting platforms (e.g., TradeStation, NinjaTrader, TradingView) or execution brokerages.

  • Backpack Trader LLC is not affiliated with, nor does it control, these external platforms or broker-dealers.
  • We accept no responsibility or liability for third-party platform glitches, brokerage execution issues, margin liquidation policies, or data feed discrepancies. You are subject to the terms and privacy policies of those respective third-party providers.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Backpack Trader LLC, its officers, employees, or affiliates shall not be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages—including lost trading capital, lost profits, lost revenue, data loss, or system downtime—arising from your use of, or inability to use, our Services, tools, or educational material.

Your use of our strategies, indicators, and tools is entirely at your own discretion and risk.

7. Governing Law and Dispute Resolution

These Terms and Conditions, and your relationship with Backpack Trader LLC, shall be governed by and construed in accordance with the laws of the State of Florida (or the jurisdiction where Backpack Trader LLC is legally registered), without regard to its conflict of law principles.

  • Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms shall be settled exclusively by binding arbitration rather than in a court of law, except that you or the Company may assert claims in small claims court if the claims qualify.
  • Class Action Waiver: You agree that any dispute resolution proceedings will be conducted solely on an individual basis and not in a class, consolidated, or representative action.

8. Changes to These Terms

We reserve the right, in our sole discretion, to modify or replace these Terms and Conditions at any time. We will notify you of any material changes by updating the “Last Updated” date at the top of this page. Continued use of our Services following the posting of changes constitutes your binding acceptance of the updated Terms.
